1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client”, “User”, “you”) and Excellence Consultancy Services (“ECS”, “we”, “us”, “our”), the operator of TargetCRM. By accessing or using TargetCRM, you confirm that you have read, understood, and agreed to these Terms.
If you are using TargetCRM on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. These Terms apply to all users of the platform including administrators and end-users.
Users must be at least 18 years of age. Use of the platform is void where prohibited by applicable law.
2. Description of Services
TargetCRM is a cloud-based, multi-tenant SaaS CRM platform designed to help businesses manage customer relationships, sales pipelines, support, and marketing. The platform includes, but is not limited to:
- Contact, lead, and deal management
- Sales pipeline and opportunity tracking
- Support ticket and service management
- Email, calendar, and communication integrations
- Lead capture integrations (IndiaMART, TradeIndia, Meta Ads, LinkedIn, websites, landing pages)
- WhatsApp Business API communication
- Email marketing integrations (Brevo, Mailchimp, and others)
- AI-powered features including lead scoring, predictive analytics, and intelligent automation
- Analytics, reporting, and dashboards
We reserve the right to update, modify, or discontinue features with reasonable notice. Material changes affecting core functionality will be communicated at least 14 days in advance.
3. Account Registration and Security
To use TargetCRM, you must register an account with accurate and complete information. You are responsible for:
- Keeping your credentials confidential and not sharing them with unauthorized persons
- All activities that occur under your account
- Notifying us immediately at connect@targetcrm.cloud if you suspect unauthorized access
- Ensuring all users you add to your organization account comply with these Terms
ECS is not liable for losses arising from compromised account credentials due to user negligence.
4. OAuth Integrations and Third-Party Connections
4.1 Google and Microsoft OAuth
TargetCRM integrates with Google Workspace and Microsoft 365 via OAuth 2.0. By authorizing these integrations, you grant TargetCRM access to:
- Your profile information (name, email, profile photo)
- Email: read, send, and mark-as-read on your behalf
- Calendar: create, view, and update events for CRM scheduling features
We access only the data necessary for the specific CRM features you enable. OAuth access tokens are stored securely and used solely to perform your authorized actions. You may revoke these permissions at any time through your Google or Microsoft account settings. Revoking access will disable the corresponding TargetCRM features.
4.2 Lead Capture Integrations
TargetCRM enables lead capture from the following sources on your authorization:
- IndiaMART and TradeIndia: Via official APIs under your authorized account credentials
- Meta (Facebook/Instagram) Lead Ads: Via our registered Meta App under your Meta Business authorization
- LinkedIn Lead Gen Forms: Via our registered LinkedIn App under your authorization
- Your websites and landing pages: Via API/webhook integration you configure
You are responsible for ensuring your use of these integrations complies with the respective platform’s terms of service and applicable data protection laws. You confirm you have the legal right to collect and process leads captured through these integrations.
4.3 Communication Integrations
TargetCRM may be connected to:
- Meta WhatsApp Business API: For customer communication and CRM-based messaging
- Brevo, Mailchimp, and other email/SMS marketing platforms: For campaign management and automation
Use of these integrations is subject to the respective platform’s policies. You are responsible for compliance with anti-spam regulations (including CAN-SPAM, TRAI regulations) when using communication features.
4.4 Future Integrations
ECS may add integrations with additional platforms over time. Such integrations will be subject to these Terms and any supplementary terms communicated at the time of availability.
5. AI Features and Data Usage
TargetCRM includes and continues to develop AI-powered features. By enabling AI features, you acknowledge and agree:
- AI features may process your CRM data, communications, and activity history to generate insights, recommendations, and automation
- Data processed by AI features may be transmitted to third-party AI providers under data processing agreements
- AI-generated outputs are for informational purposes and should be reviewed before acting upon them
- ECS does not guarantee the accuracy or completeness of AI-generated insights
- Your personal or client data will not be used to train external AI models without your explicit consent
You may disable specific AI features from your account settings. Some features may require AI processing to function and cannot be used without it.
6. Subscription, Fees, and Payment
- TargetCRM is offered on a subscription basis. Fees, billing cycles, and plan features are published on our website and communicated at onboarding
- Payment: All subscription fees are due in advance in accordance with your selected plan
- Late Payment: Failure to pay within the grace period (7 days) may result in service suspension. Accounts suspended for non-payment for more than 30 days may be terminated
- Upgrades and Downgrades: Changes to subscription plans take effect at the start of the next billing cycle unless otherwise agreed
- Refunds: Subscription fees are generally non-refundable. Exceptions apply in cases of billing errors or significant service unavailability exceeding SLA thresholds
- Taxes: Fees are exclusive of applicable taxes (GST and other taxes as applicable). You are responsible for applicable taxes
7. Client Data and Ownership
- You retain full ownership of all data you input into TargetCRM (“Client Data”), including customer records, leads, and business information
- ECS processes Client Data only to provide the services described in these Terms and in accordance with our Privacy Policy and applicable Data Processing Agreements
- You are responsible for ensuring that all Client Data you input into TargetCRM has been collected lawfully and that your use of TargetCRM complies with applicable data protection laws
- Upon account termination, you may export your data within 90 days. After this period, data will be permanently deleted per our data retention policy
8. Intellectual Property
8.1 ECS Intellectual Property
TargetCRM, its software, design, trademarks, documentation, and all related intellectual property are owned by Excellence Consultancy Services or its licensors. Nothing in these Terms grants you ownership of or rights to ECS intellectual property beyond the limited license to use the platform.
8.2 License Grant
Subject to your compliance with these Terms and payment of applicable fees, ECS grants you a limited, non-exclusive, non-transferable, revocable license to access and use TargetCRM for your internal business purposes.
8.3 Restrictions
- You must not reverse engineer, decompile, or attempt to extract source code
- You must not create competing products or services using TargetCRM
- You may not resell, sublicense, or white-label TargetCRM without written permission from ECS
- You must not scrape, crawl, or extract data from the platform in an unauthorized manner
9. Prohibited Uses
You agree not to use TargetCRM for:
- Any illegal, fraudulent, or unauthorized purposes
- Uploading or distributing malware, viruses, or harmful code
- Sending unsolicited commercial communications (spam) in violation of applicable laws
- Violating the intellectual property or privacy rights of third parties
- Circumventing security measures or attempting unauthorized access to systems
- Storing or processing sensitive personal data categories (health, financial account data, biometric data) without appropriate safeguards and ECS’s prior written approval
- Any activity that disrupts, degrades, or impairs the TargetCRM platform or other users
Violation of these restrictions may result in immediate suspension or termination without refund.
10. Confidentiality
Each party agrees to maintain the confidentiality of the other party’s proprietary information disclosed in connection with the use of TargetCRM, including business processes, pricing, and technical details. This obligation survives termination of the agreement for a period of three (3) years.
11. Data Security and Incident Notification
ECS implements industry-standard security measures to protect Client Data. In the event of a confirmed data breach affecting Client Data, ECS will:
- Notify affected clients within 72 hours of becoming aware of the breach
- Provide details of the nature of the breach, data affected, and remediation steps
- Work with clients and authorities as required by applicable law
12. Service Availability and SLA
ECS targets 99.5% monthly uptime availability for the TargetCRM platform, excluding scheduled maintenance. Planned maintenance windows will be communicated at least 24 hours in advance. ECS shall not be liable for downtime caused by third-party integrations, client-side issues, force majeure events, or circumstances beyond ECS’s reasonable control.
13. Limitation of Liability
To the maximum extent permitted by applicable law:
- ECS’s total aggregate liability for any claims arising under or related to these Terms shall not exceed the total subscription fees paid by you in the 12 months preceding the claim
- ECS is not liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, business interruption, or data loss
- ECS is not liable for the actions, content, or availability of third-party integration partners
These limitations apply regardless of the form of action and whether ECS has been advised of the possibility of such damages.
14. Warranties and Disclaimers
TargetCRM is provided “as is” and “as available.” ECS warrants that it will use commercially reasonable efforts to ensure the platform functions materially as described. ECS disclaims all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
ECS does not warrant that AI-generated outputs are accurate, complete, or suitable for any specific purpose. You assume full responsibility for decisions made based on AI-generated insights.
15. Termination
15.1 By You
You may terminate your subscription at any time by contacting us. Termination takes effect at the end of the current billing period. No refunds will be issued for unused subscription periods.
15.2 By ECS
ECS may suspend or terminate your account immediately for material breach of these Terms, non-payment, or legal requirements. For non-material breaches, ECS will provide 14 days’ notice to remedy the breach before termination.
15.3 Effect of Termination
- Access to the platform will be revoked
- Client Data will be available for export for 90 days post-termination, after which it will be permanently deleted
- Confidentiality, IP, and limitation of liability clauses survive termination
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Any disputes arising from or related to these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India), with the seat of arbitration in Ahmedabad, Gujarat, India.
Nothing in this clause prevents either party from seeking urgent injunctive or interim relief from competent courts.
17. Changes to Terms
We reserve the right to modify these Terms. Material changes will be communicated via email or an in-platform notice at least 14 days before taking effect. Your continued use of TargetCRM after the effective date constitutes acceptance. If you do not agree with the changes, you may terminate your account before the effective date.
18. General
- Entire Agreement: These Terms, together with our Privacy Policy and any applicable Order Forms, constitute the entire agreement between you and ECS regarding TargetCRM
- Severability: If any provision is found unenforceable, the remaining provisions continue in full force
- Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement
- Assignment: You may not assign your rights under these Terms without ECS’s prior written consent. ECS may assign its rights as part of a corporate restructuring or acquisition
- Force Majeure: Neither party shall be liable for delays caused by circumstances beyond their reasonable control
